Drawing on nearly two decades of intense academic research and teaching of company law, Dr. Subai brings his experience to bear in a book which is the first of its kind in Nigeria as it comprehensively examines the principles of Nigerian company law from a historical and analytical perspective. The Principles of Nigerian Company Law revolves around the Nigerian Companies and Allied Matters Act 2020 but in do doing so, it comments on its provisions, but goes beyond this to consider underlying principles beyond them, while also taking into cognizance developments in other jurisdictions, notably the United Kingdom, United States of America, South Africa, Tanzania and India. The book will be published in two volumes with the current volume containing chapters which deal with: understanding the nature of a company, formation and classification of companies, historical development of the company, conversion and re-registration of companies, disregarding the corporate personality, powers of the company and the ultra vires doctrine, alteration of the memorandum and articles of association, membership of companies, shares, and debentures. The book will be useful and very relevant for students of corporate law, lawyers, chartered secretaries, board room practitioners, and for regulators.
